These Terms of Service ("Terms") govern your access to and use of Content Factory (the "Service"), operated by [[COMPANY LEGAL NAME / SRL]] ("we", "us", "our"), reg. [[REG. No J.. / CUI ..]], [[REGISTERED ADDRESS]], Romania. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Content Factory is an AI-assisted tool that lets you process short-form videos — including translating and re-voicing narration, replacing captions, and generating derivative clips — using third-party AI providers. Outputs are generated automatically and may contain inaccuracies.

2. Eligibility & accounts

• You must be at least 18 years old (or the age of majority in your country) and able to enter a binding contract.
• You must provide accurate registration information and keep it up to date.
• You are responsible for all activity under your account and for keeping your credentials secure. Notify us immediately of any unauthorized use.
• You must verify your email address to use the Service.

3. Subscriptions, billing & plans

• Paid plans are billed on a recurring basis (monthly, unless stated otherwise) through our payment processor, Stripe. By subscribing you authorize recurring charges until you cancel.
• Each plan includes a monthly usage quota (number of jobs). Quotas reset at the start of each calendar month and do not roll over.
• Prices are shown at checkout and may exclude taxes (e.g. VAT), which are added where applicable.
• We may change prices or plan features with reasonable prior notice; changes apply from your next billing cycle.
• Cancellation, refunds and the EU right of withdrawal are described in our Refund Policy.

4. Your content and acceptable use

You are solely responsible for the content you submit and generate. By using the Service you represent and warrant that:

• You own or have all necessary rights, licenses and permissions to the source videos, audio, images and text you submit, and to create and use the outputs — including any copyright, trademark, likeness, voice and publicity rights of third parties.
• Your use complies with the terms of any platform the source content comes from (for example, YouTube's Terms of Service) and with all applicable laws.
• You will not use the Service to create or distribute content that is infringing, defamatory, deceptive, hateful, harassing, sexually exploitative, or otherwise unlawful, or to impersonate any person or clone a voice without authorization.
• You will not misuse, overload, reverse-engineer, resell or attempt to circumvent quotas, rate limits or security of the Service, and will not use it to build a competing product.

We may remove content and suspend or terminate accounts that violate these Terms, and we may cooperate with rights holders and authorities.

5. AI-generated output

Translations, synthetic voices, captions and edits are produced by automated systems and provided on an "as is" basis. They may be inaccurate, unnatural or unsuitable for your purpose. You are responsible for reviewing outputs before publishing or relying on them, and for ensuring they comply with applicable law and the policies of the platforms where you distribute them.

6. Intellectual property

We and our licensors own the Service, its software, design and trademarks. As between you and us, you retain rights to the source content you own and to the outputs you generate, subject to the rights of third parties and to the terms of the third-party providers used to create them. You grant us a limited license to process your content solely to operate and provide the Service.

7. Third-party services

The Service relies on third-party providers, including Stripe (payments), and AI/media providers such as ElevenLabs, Anthropic, Groq and others, as well as our hosting provider. Your use may also be subject to their terms. We are not responsible for third-party services and do not guarantee their availability.

8. Availability & changes

We aim to keep the Service available but do not guarantee uninterrupted or error-free operation. We may modify, suspend or discontinue features at any time. Generated result files are retained for a limited period (currently 7 days) and then deleted — download your results in time.

9. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including fitness for a particular purpose, non-infringement, accuracy or availability, to the fullest extent permitted by law. Nothing in these Terms limits rights you have as a consumer that cannot be excluded under applicable law.

10. Limitation of liability

To the fullest extent permitted by law, we will not be liable for indirect, incidental, special or consequential damages, or for loss of profits, data, goodwill or content. Our total liability arising out of or relating to the Service is limited to the amount you paid us in the 6 months preceding the event giving rise to the claim. This does not exclude liability that cannot be excluded under applicable law (including for intent or gross negligence, or mandatory consumer rights).

11. Indemnification

You agree to indemnify and hold us harmless from claims, damages and costs (including reasonable legal fees) arising out of your content, your use of the Service, or your breach of these Terms or of any third-party rights.

12. Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access if you breach these Terms or use the Service unlawfully. Provisions that by their nature should survive termination (e.g. IP, disclaimers, liability, indemnity) will survive.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified by email or in-app with reasonable notice. Continued use after the changes take effect constitutes acceptance.

14. Governing law & disputes

These Terms are governed by the laws of Romania and the European Union, without regard to conflict-of-laws rules. Disputes will be subject to [[the competent courts of ____, Romania]], subject to any mandatory consumer-protection rules of your country of residence. EU consumers may also use the European Commission's Online Dispute Resolution platform.
